Job Description

The Legal and Compliance Manager will contribute to the overall legal, contracting and compliance functions across SFH, its country platforms, subsidiaries and affiliates. Reporting to the Group Director, the successful candidate will provide legal and contractual support while ensuring compliance with donor, regulatory and statutory requirements.

Key responsibilities include:

  • Vet and draft agreements across SFH Nigeria, its subsidiaries, affiliates and platforms in line with donor, legal, regulatory and contractual requirements.
  • Ensure procurement contracts are properly drafted to support value for money and compliance with applicable requirements.
  • Provide contract management services to SFH Management and the Board.
  • Provide legal advice and opinions on matters requiring legal support.
  • Manage SFH’s corporate and company secretarial functions, including preparation for Board meetings, taking minutes and statutory filings with the Corporate Affairs Commission (CAC).
  • Ensure SFH’s intellectual property is properly registered and protected.
  • Lead the registration of new platforms, entities and intellectual property.
  • Provide business support on relevant corporate and legal matters.
  • Lead and support contractual and regulatory compliance activities to ensure SFH meets its legal, regulatory and contractual obligations while minimising organisational risks.
  • Work with retained legal advisers to develop strategies and provide support for court matters, ensuring that SFH is properly represented.
  • Contribute to the effective mentorship of new staff within the department.
  • Support the embedding of SFH’s organisational culture.

Requirements

  • A minimum of an LLB and BL is required.
  • At least ten (10) years of progressively increasing responsibility working with and advising different clients, including corporate entities, government and regulatory agencies, and individuals.
  • Excellent legal drafting and communication skills, demonstrated through experience working with diverse clients.
  • Demonstrated ability to manage company secretarial functions, including taking minutes and undertaking filings with the Corporate Affairs Commission.
  • Demonstrated ability to manage compliance interactions with different regulatory agencies.
  • Knowledge and experience advising on and handling matters before different courts for multiple clients.

Skills and Competencies

  • Ability to draft legal documents such as contracts, bids, leases, sub-awards and various litigation documents in a concise and clear manner using appropriate legal terminology.
  • Ability to systematically and efficiently manage contract creation and execution to support business, financial and operational performance.
  • Ability to prepare Board documents and memoranda, take minutes, make necessary filings with the Corporate Affairs Commission and advise on governance and statutory compliance requirements.
  • Strong legal research skills, with the ability to identify relevant laws and apply them to everyday and critical legal issues.
  • Ability to manage aspects of issues arising from court matters.
  • Ability to work effectively with other departments to support SFH’s contractual and regulatory compliance obligations.
  • In-depth knowledge of commercial and corporate law, organisational operations and restructuring.
  • Ability to translate legal and corporate knowledge into practical advice for the Board and Management and support effective organisational decision-making.
